Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and NeuraForge ("Company," "we," "us," or "our") governing your access to and use of the NeuraForge platform, including any associated software, APIs, documentation, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Service Description

The Service is a software-as-a-service (SaaS) platform designed to provide IT management and operational capabilities for businesses. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Account Registration and Security

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that all users authorized to access the Service under your account comply with these Terms

4. Subscription and Payment Terms

Access to the Service requires a paid subscription. By subscribing, you agree to pay all applicable fees as described in the pricing plan you select.

• Billing Cycle: Fees are billed in advance on a monthly or annual basis, depending on your selected plan.
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the end of the current billing period.
• Price Changes: We may modify pricing with 30 days' prior notice. Continued use after the effective date constitutes acceptance.
• Taxes: Fees are exclusive of applicable taxes, which you are responsible for paying.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service to transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to compete directly with NeuraForge
• Resell, sublicense, or redistribute the Service without written authorization

6. Intellectual Property Rights

The Service and all associated intellectual property rights remain the exclusive property of NeuraForge. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.

You retain all rights to your data and content uploaded to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely for the purpose of providing the Service.

7. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. We implement appropriate technical and organizational measures to protect Customer Data against unauthorized access, loss, or alteration. Privacy Policy

8. Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care used to protect its own confidential information, but in no event less than reasonable care. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

9. Warranties and Disclaimers

We warrant that the Service will perform substantially in accordance with its documentation. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NeuraForge SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless NeuraForge and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect until terminated. Either party may terminate the subscription:

• At the end of any billing period with 30 days' prior written notice
• Immediately upon material breach by the other party that remains uncured for 30 days after notice
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, your access to the Service will cease, and we will delete your Customer Data within 90 days unless legally required to retain it. You may request a data export prior to termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NeuraForge is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between the parties regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
• Waiver: Failure to enforce any right shall not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent.
• Force Majeure: Neither party shall be liable for delays caused by circumstances beyond reasonable control.
